What this document is. The terms on which you may use Farm Assistant. They are accepted when you start a trial and govern your use of the Assistant from that point on, whether or not you go on to subscribe. Commercial terms — fees, billing and term — are in the separate Subscription Agreement, which you accept if and when you move to a paid plan (§21). The Disclaimers (in Schedule 1 to these Terms) are an important part of this document, please consider them carefully before accepting (§16). The Privacy Policy forms part of these Terms by reference (§23.1).

Defined terms are in §1.1 and apply to Schedule 1 and the Subscription Agreement as well.

1. Definitions and interpretation

1.1 Defined terms

• AI Providers — the third-party providers of the AI models the Assistant uses. They are named, with what each one receives, in the Privacy Policy (clause 6).
• Farm Assistant / the Assistant — the per-farm artificial intelligence assistant Regen Digital makes available to you.
• Farm Data — has the meaning given in the Privacy Policy, which follows the National Farmers' Federation Australian Farm Data Code (Edition 2): data relating to the operations, conditions or other characteristics of your farm.
• you / the Farmer — the person or farm business using Farm Assistant.
• Harness — the agent framework, built and operated by Watney Labs that runs your Assistant and gives it persistent memory.
• Input — anything provided or made available to the Assistant by you, or by anyone you invite to use it (§4.4), including by giving it access to one of your systems or online accounts.
• Magic Link — a single-use sign-in link, sent to you and used instead of a password, to reach your personal farm website. Whoever holds a Magic Link has your access to that site.
• Output — anything the Assistant generates, drafts, computes or reports.
• Regen Digital — Regen Digital Pty Ltd (ABN 32 653 452 478), the entity you contract with under these Terms.
• Regen Farmers Mutual — Regen Farmers Mutual Limited (ABN 23 651 686 654), the farmer-owned mutual that curates the Regen Library and provides other member support services.
• Regen Library — the collection of Resources curated by Regen Farmers Mutual that you may choose to draw on.
• Resource — a skill, tool, guide or manual in the Regen Library, authored by a third party.
• Subscription Agreement — the separate agreement covering fees, billing and term, accepted when you move to a paid plan.
• Switchboard — the connection service, hosted and operated by Watney Labs, through which the Assistant connects to some of your online systems and accounts. Switchboard is shared infrastructure that routes requests; it does not store your Farm Data (§11.1).
• Telegram — the third-party messaging service through which you reach your Assistant, and Roadside Assistance. Telegram is not operated by Regen Digital and your use of it is governed by Telegram's own terms.
• Watney Labs — Watney Labs Limited (UK Company number 17042308)

1.2 Interpretation

Headings are for convenience and do not affect meaning. "Including", "particularly" and "for example" are not words of limitation. A reference to a document is to that document as updated from time to time in accordance with its own terms. Where these Terms conflict with the Subscription Agreement on a commercial matter, the Subscription Agreement prevails; on a use matter, these Terms prevail.

2. Acceptance

2.1 How you accept

By starting a trial or using the Assistant, you agree to these Terms.

2.2 Authority

You confirm you have the legal capacity to enter this agreement and, where you are acting for a farm business, the authority to bind it.

2.3 Who you are contracting with

Regen Digital is your sole contracting counterparty. Regen Digital operates the Assistant under arrangements with Regen Farmers Mutual and Watney Labs, governed by separate agreements with those parties. Neither Regen Farmers Mutual nor Watney Labs is a party to these Terms, and neither has a direct contractual relationship with you under them.

3. The Service

3.1 What Farm Assistant is

Farm Assistant is infrastructure. It connects you to third-party large language models through the Harness, lets you draw on Resources from the Regen Library, and to create your own private farm management websites. You direct the Assistant — you decide what to ask it, which Resources to use, and what to do with its Output. Regen Digital does not itself give you advice, author Resources, or train the AI models.

3.2 Decision-support, not a decision-maker

The Assistant is made available to help you with day-to-day farm administration, record-keeping and decision-support. It is not an autonomous decision-maker and is not a substitute for professional advice. Please consider carefully its limitations and how you use it in accordance with the Disclaimers in Schedule 1.

3.3 Uses new technologies

Farm Assistant uses technologies that are new and rapidly evolving. Features change, and some are in active development. We do not warrant that it will be available at all times or that Output will be accurate (see further §16).

3.4 What the Assistant is built on

Your Assistant runs on the Harness, operated by Watney Labs, on infrastructure provisioned for your farm. It reaches AI Providers for inference, transcription and embeddings, and reaches your own systems by the two routes described at §11.1. A current description of the standard build is maintained internally and is available on request. A plain-English summary of what it can and cannot do is described in Schedule 1 §11.

3.5 How you use the Assistant

You use the Assistant through Telegram — text or voice messages, on your phone, either one-to-one or in a group chat you have set up (§4.4). Your personal farm website is a separate surface for viewing records and dashboards the Assistant builds for you (§12).

3.6 What the Assistant remembers

The Assistant keeps context about your farm between conversations, so you do not have to start again each time. Two things you should understand about it:

Your Assistant's memory works two ways, and they're not equally reliable.

A set of farm facts it reads every time. The Assistant keeps a short, curated set of facts about your farm, together with your most recent conversations, and it reads those at the start of every conversation. This part is dependable - if a fact is in that set, the Assistant has it. You can influence what is kept there by telling the Assistant what matters - if you do not tell it to explicitly remember something it is likely to fall into the next category.

A searchable memory of older conversations. Anything beyond the short, curated set of facts it finds by searching its broader workspace for what it assesses looks relevant — not by looking up a fixed record. So it may not bring up something you told it, or it may bring up an older version, and nothing in the conversation will tell you which happened.

Two consequences:

• For anything critical, confirm rather than assume. Ask the Assistant to show you the fact, or tell it again. Do not treat silence as evidence that something was never recorded.
• It is not your system of record. Do not rely on the Assistant's memory as the place a fact is kept — for anything that matters, keep the record in your own system (§9.4, Schedule 1 §10).

3.7 Our mission and environmental stewardship

Regen Digital's mission, written into its constitution, is to help farmers be rewarded for delivering environmental benefits, while promoting farmers' own control, security and privacy over their Farm Data (§13). Our systems and processes are designed specifically to promote these rights with respect to Farmer Data, while the Regen Library aims to support the delivery of environmental benefits in different farming systems. This is not a guarantee of any particular environmental, regenerative or sustainability outcome — see Schedule 1 §9.

4. Permitted use and access

4.1 Use for your farm business

Farm Assistant is supplied to you for use in your farm business. It is not supplied for personal, domestic or household use. You must hold an active Australian Business Number, and by accepting these Terms you confirm that you are acquiring Farm Assistant for business purposes. You may only use the Assistant for the purposes described in these Terms or otherwise agreed with us in writing.

4.2 Compliance with law

You are responsible for ensuring your use of the Assistant complies with all applicable laws.

4.3 Your account and keeping it secure

To use the Assistant you must provide accurate account information, including your name, mobile number, email address and ABN. You are responsible for keeping your account details secure and for all activity under your account.

You reach the Assistant through Telegram, so anyone with access to your Telegram account can use your Assistant as you — read your Farm Data, ask it to export information, and reach any system you have connected to it (§11).

Your phone is the key to your Assistant. If your phone is lost or stolen, or you think your Telegram account has been compromised, tell us immediately through Roadside Assistance, and secure your Telegram account directly with Telegram.

What you should do first. Revoke your connections at the providers themselves (§11.1). That is the fastest way to cut off access to your accounting or machinery platforms, it takes effect immediately, and it does not depend on us.

What we can do when you tell us. We can disconnect your Assistant's connected accounts, remove any number from the list allowed to reach your Assistant — a list you manage yourself (§4.4), but which we can change for you — and change the key to your Assistant's server. What we cannot yet do is end an active website session for your account alone, or freeze your Assistant at short notice. Treat securing your Telegram account and revoking at the providers as the steps that actually protect you; ours are a backstop, not a substitute.

4.4 Who else may use your Assistant

Your Assistant is provisioned for your farm business, and you are the account holder. You may invite other people to use it — a spouse or partner, an employee, an agronomist — by adding their number to the list of numbers allowed to reach your Assistant. They can then message your Assistant using their Telegram account. The allow list is yours to manage. You decide who goes on it, and you can take someone off it.

Anyone you invite reaches the same Assistant you do. It is instructed to limit what it discloses to someone who is not you, but that is an instruction to a language model, not a permission setting, and it cannot be guaranteed. Something you would not have chosen to share may be disclosed. We cannot remove that risk, so treat it as present: invite only people you would trust with the contents of your Assistant.

Hold these conversations in a group chat that includes you. That way you see what is asked and what is answered, and you can correct it at the time. The Assistant is instructed not to hold separate conversations with people you have invited, but again that is an instruction rather than a control, and a direct conversation remains possible. The group chat is the practice that actually protects you.

You are responsible for everything done under your account — including what anyone you invite asks the Assistant, and what it shows them. Their questions are your Inputs and its answers to them are your Outputs (§8, §9). As the account holder you are, in effect, a party to every conversation your Assistant has.

You indemnify us against any claim brought by a person you have invited to use your Assistant or to access your farm website, arising from their use of it or from what was disclosed to them.

Where you want to share information with someone outside your farm business, consider your farm website instead. It is code, built with your Assistant's help, and it shows what it has been built to show only. But read §12.2 first: today a shared link gives that person the same view of the site that you have, so this is the safer path only where the whole site is safe for them to see.

5. Prohibited use

5.1 General

You must not use the Assistant for any unlawful or harmful purpose, to misrepresent your identity or impersonate anyone, or for automated or bulk misuse without our prior written consent. You must not use the Assistant in a way that is likely to bring Regen Digital, Regen Farmers Mutual or its members into disrepute.

5.2 Safety measures

You must not attempt to bypass, disable or undermine any safety measure, content control or review step.

5.3 The models

You must not attempt to reverse engineer, extract or replicate the underlying models or their weights. The models are those of the AI Providers, named in the Privacy Policy (clause 6).

5.4 Machinery and money

The Assistant is for information and decision-support only. You must not use the Assistant to operate, actuate or control machinery, vehicles, equipment or industrial-control/SCADA systems, or to initiate or authorise any payment or transfer of money, or enter into any commitment that may result in a payment or a commercial transaction. Instructing the Assistant to do either is a breach of these Terms.

6. Eligibility

You must be at least 18 years old to use the Assistant. Farm Assistant is not directed at children, and we do not knowingly collect personal information from anyone under 18. If you believe someone under 18 has provided us personal information, email hello@farmassistant.com.au and we will investigate and, if appropriate, delete it.

7. Sponsor-funded cohorts

Where a third party pays for a group of farmers to be onboarded, that sponsor is not a party to these Terms. These Terms apply between Regen Digital and you individually, regardless of who pays. Any terms that such a sponsor may wish to impose on their funding would be disclosed and specifically agreed to by you, prior to any commitment.

8. Your inputs

8.1 You are responsible for what goes in

You are responsible for the accuracy, completeness, legality and appropriateness of Inputs. The quality of Output depends on them.

8.2 Sensitive information

You should not input sensitive personal information unless it is necessary, and you are responsible for anyone you invite doing the same. Anything that is input is handled under the Privacy Policy.

8.3 Rights in your inputs

You keep ownership of your Inputs. You grant Regen Digital a non-exclusive, royalty-free, worldwide licence to host, store, copy, transmit, display back to you, and adapt or reformat your Inputs — and to allow our service providers to do the same on our behalf (the operator of the Harness, the AI Providers, Switchboard, and our hosting providers; see the Privacy Policy). This licence is granted only to the extent necessary to operate the Assistant for you and to support you in using it.

We will not use your Inputs to train or fine-tune any AI model, to provide the service to any other farmer, or for any purpose other than operating Farm Assistant for you.

This licence lasts only as long as we hold the relevant Inputs, and ends when they are deleted under §13.3 — except where we are required by law to retain them.

A different licence applies to Resources you choose to share with the Regen Library (§14.4).

8.4 You confirm you have the rights

Where Inputs are provided — by uploading files, connecting a system, or instructing the Assistant to retrieve or act on information — you confirm you have the rights, permissions or authority to do so. This includes any licensed data feed you direct the Assistant to use, and any platform whose own terms govern how it may be accessed (§11.2).

9. Outputs

9.1 You own your Outputs

As between you and Regen Digital, you own the Output generated for you, and the records, reports and dashboards the Assistant produces from your Inputs. We claim no ownership of them.

Two things we cannot promise:

• Output may not be unique. The models may produce the same or similar Output for someone else. Nothing here gives you rights against another person who receives similar Output.
• We can only pass on the rights we hold. Our rights in Output come through the AI Providers' terms. Where those terms limit what may be done with Output, the same limit applies to you.

This does not extend to the Assistant itself, the Harness, the models, or any Resource, which remain the property of Regen Digital, Watney Labs, the AI Providers or the relevant Resource author (§14.1).

9.2 Output is not advice

Output is not professional advice and is not a substitute for it. See Schedule 1 §3.

9.3 Verify before you rely

You are responsible for independently verifying Output before acting on it — particularly for important Outputs such as chemical and spray rates and withholding periods; animal health and treatment; financial, accounting and tax figures; regulatory and record-keeping outputs; and any document a third party will rely on.

9.4 Formal records

Where an Output becomes a formal record, or a document someone else relies on, you are responsible for reviewing it and issuing it from your own system of record, under your own sign-off.

9.5 What you must not do with the Output

You must not use Output to train, fine-tune or develop any AI model. This restriction comes from the AI Providers' terms and we are required to pass it on.

10. Agentic actions

10.1 What the Assistant may do

The Assistant may take actions on your behalf when you instruct it to — for example running a Resource, writing a file to your own storage, or drafting an entry in a system you have connected.

10.2 Your instruction is your authorisation

By instructing the Assistant to perform a task, you authorise the actions reasonably necessary to complete it.

10.3 Irreversible actions

Some actions cannot be undone — sending a message, or writing/deleting to one of your own systems. Take care before instructing the Assistant to take them.

10.4 Financial work is left for you to execute

The Assistant can help with financial work: it can draft, model and analyse — preparing an invoice, building a cash-flow projection, reconciling figures for you to check. It must not move money, or enter into commitments that may result in commercial transactions or payments, and instructing it to is a breach of these Terms (§5.4).

The Assistant is instructed to draft rather than post — to prepare the invoice or the journal and leave it for you to review and execute. That is an instruction to the Assistant, not a technical lock. Where it works inside an account you have logged it in to, it has the same access you do and there is no setting that limits it, so it can change things in your accounting system. Check what it has done before you rely on it. Your review before something is entered, approved or issued is the safeguard — not anything inside the Assistant.

10.5 You can stop it

You may monitor, pause or override any action the Assistant takes, at any time.

11. Connected systems and third-party dependencies

11.1 How the Assistant connects to your systems

Where you authorise it, the Assistant connects to your own systems and online accounts — for example your accounting software, cloud storage, machinery platforms or sensors. There are two ways it does this, and the difference matters:

1. Switchboard connections. Switchboard is a connection service hosted and operated by Watney Labs. It enables you to connect your Assistant to a platform via a secure, hosted connection. For platforms that support it, you authorise a connection at the provider's own site — you log in to Xero, or John Deere, on their page, not ours — and the provider issues an access token. Your password is never given to the Assistant or to us. Where the provider offers a choice of permissions, you set what the connection is allowed to do at that point.

Switchboard is shared infrastructure serving every farm. It does not store your Farm Data, and it does not keep the content of requests or responses. It does hold the access token for each connection, encrypted, along with the configuration for that connection. It does not keep a record of which of your systems was contacted, or when. The access tokens are held in encrypted storage shared across farms in the United States, encrypted at two layers — the store itself, and each token again under a key that belongs to that connection alone — so that no farmer can reach another farmer's tokens. You may revoke any connection at any time, either at the provider or by asking us. Revoking through us removes the stored token, not just your Assistant's use of it.

2. Working in your own logged-in session. For platforms not yet available through Switchboard — which today is most of them — the Assistant works inside a session you have logged in to, in the same way you would use the site yourself. There is no separate permission layer in this case: **the Assistant can reach whatever you can reach. **You take on the risk that the Assistant will **write, delete or change something in your account.

**The credentials for platforms reached through your own logged-in session, and the keys your Assistant uses to run, are held on your own Assistant's server. You manage them via your Assistant and can revoke access for the Assistant at any time.

11.2 Your accounts remain yours

You remain responsible for all your accounts with those services you connect to, and for complying with their terms — including where a platform's own terms restrict automated access. Where a connection allows the Assistant to write to one of your systems, check what it has done before you rely on it. Your review is the safeguard — not anything inside the Assistant. They are your accounts, and you take full responsibility for any actions the Assistant makes with them.

What a connection can do depends on which path it uses:

• Authorised connections through Switchboard are read-only. The Assistant can look at what is in those systems; it cannot change or delete anything in them. Where the provider lets you narrow what may be read, that choice is yours to make.
• Anything the Assistant reaches through your own logged-in session is subject to the rules of that site. The Assistant has the same access rights as you do, including the ability to change and delete things, and there is no permission setting to limit it.

Revoking a connection stops future access. It does not undo what has already been done — it does not recall data already read, or reverse entries already written.

11.3 Services the Assistant depends on

The Assistant depends on third-party services including Telegram, AWS (including Bedrock, which hosts the Claude models), OpenAI, and — for a limited test group — ElevenLabs. We are not responsible for the content, availability or actions of any third-party service, and we do not warrant the Assistant's availability where it depends on one. A connection to one of your own systems may also stop working because that provider changes something.

11.4 Third-party data

Market, price, weather and other third-party data the Assistant retrieves at your direction is not warranted by Regen Digital for accuracy, completeness or timeliness. Where that data comes from a licensed feed, you are responsible for holding the rights to it.

12. Access to your farm website

12.1 How you log in

You access your personal farm website by magic link rather than a password. Each link is single-use and expires 10 minutes after it is issued if it has not been used. Once you use a link, you stay signed in on that device for 30 days before you need a new one. Sign out when you have finished on a device you do not control.

12.2 Sharing access to your website

You may share access to your farm website with other people — an adviser, a contractor, a family member. Because the website is code and does only what it has been written to do, it is often a better way to share information with someone outside your farm business than a conversation with your Assistant.

By default, sharing works by forwarding a magic link, and a forwarded link gives that person your access, not their own. They see what you see; there is no separate sign-in, and no way to give one person less of the site than another. You are responsible for anyone you give access to, and for what they do with it. If you no longer want someone to have access, tell us and we will reset your links.

13. Data and privacy

13.1 The Privacy Policy governs

How we collect, use, disclose and retain your personal information is set out in the Privacy Policy, which forms part of these Terms by reference.

13.2 Your data is yours

Your Farm Data is yours. We do not sell it. We do not share it with other farmers.

You may share a Resource with the Regen Library (for example, a farming method) where you choose to share it — but never your underlying data.

13.3 Deleting your data

You may ask us to delete your Farm Data and your Assistant's workspace, and we will.

Resources you have contributed are not deleted, in accordance with §14 and the terms on which you contributed them — other farms may already rely on them. This holds however your account ends, including where it is deleted for prolonged non-payment under the Subscription Agreement §6.5. Publication of a Resource is permanent and cannot be undone.

13.4 Getting an export of your data

Separately from deletion, you may ask us for an export of your data and your farm-specific memory. Every Farmer may ask for the same things:

• files you uploaded;
• your farm records;
• your farm-specific memory — being the facts your Assistant keeps about your farm;
• your farm website's content and data.

What an export does not include is the material that makes the Assistant work rather than the material about your farm — its system prompt and configuration files, the Resources installed on it, and the code behind the connection service.

We aim to provide an export within 30 days, the same as an access request under the Privacy Policy.

14. Intellectual property and the Regen Library

14.1 What we and others own

Intellectual property rights in the Assistant, the Harness, Switchboard and the underlying models belong to Regen Digital, Watney Labs, the AI Providers or their licensors. Rights in a Resource belong to its author.

14.2 Your licence to use the Assistant

We grant you a limited, non-exclusive, non-transferable licence to use the Assistant in accordance with these Terms.

14.3 Feedback

Any feedback or suggestions you give us may be used to improve Farm Assistant, without obligation to you.

14.4 Sharing a Resource — the licence you grant

From time to time you or your Assistant may develop something that could help other farmers — a skill, guide, practice, template or method. You are never obliged to share anything. Where you choose to share, you grant Regen Farmers Mutual a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to curate it (including to sanitise, generalise and parameterise it), reproduce and adapt it, distribute it to other members through the Regen Library, and sub-licence it onward to Regen's operators and partners under Regen's own licence terms.

Once a Resource is published you cannot take it back — other farms may already be relying on it, and copies may be installed on their Assistants. What you choose to share is always up to you, and you can change whether you are personally named at any time.

14.5 Everything shared goes to the Regen Library

There is no separate open-access or public route. Regen Farmers Mutual alone determines how, and to whom, a shared Resource is further distributed, always under its licence terms and the protections in this section.

14.6 You keep ownership

This is a licence, not a transfer. You retain ownership of what you share, and Regen Farmers Mutual takes no ownership interest in it. Where something has been co-developed, each contributor's share is recorded against it. If a Resource is ever monetised, Regen Farmers Mutual may take a management fee for administering that.

14.7 Your Farm Data never travels

Only a Resource is ever shared — workflow logic, judgement and thresholds expressed as bundled assumptions. Your figures, names, property boundaries, records and images are never included. Every Resource is reviewed before publication to remove personal and identifying information.

14.8 Attribution

Every Resource your Assistant publishes is attributed to the Assistant instance and model version that produced it. This attribution is required — for traceability and quality — and it is enforced by the system: your Assistant cannot publish a Resource without it. You cannot share a Resource anonymously. Whether you are also personally credited by name is your choice: the default is de-identified, and you may change it at any time.

Where Regen Farmers Mutual amends a Resource or prepares one itself as part of its review, attribution is recorded by hand rather than enforced by the system.

14.9 Quality assurance

Regen Farmers Mutual reviews everything that can potentially be contributed to the Regen Library — to remove personal information, meet its publishing standards and protect member interests. It may amend a Resource, or decline to publish it, and may remove a published Resource from the Library — for example if it turns out to be unsafe, wrong, or in breach of these Terms.

14.10 You are asked each time

The licence in §14.4 applies only to the specific Resources you actually choose to share. Each time something is identified as potentially useful to others, you will be asked whether you want to share it, and your decision is recorded. Declining has no consequence and does not affect your service.

14.11 No warranty from you, no liability to adopters

You share on the basis that it is yours to share and that it reflects your genuine practice or knowledge. You do not warrant that it will work on any other farm, and you carry no liability to farmers who adopt it. Adopting farmers receive every Resource with disclaimers and are responsible for verifying and adapting it to their own circumstances.

14.12 Recognition now, compensation later

Sharing is recognised today through attribution (by name if requested), and through reciprocal access to what other members contribute. No payment is owed for sharing. Regen Farmers Mutual is developing usage tracking so that, if a usage-based compensation scheme is introduced later, it can be offered to you under separate terms and with your opt-in. Premium tiers and named products built around your knowledge fall outside this licence and need your separate consent.

15. Confidentiality

15.1 Our confidential information

The instructions and configuration that make your Assistant work — its system prompt, workspace configuration and internal settings — are our confidential information. They sit in your Assistant's workspace. You may use them for your own farm, but you must not publish them or pass them to anyone else, and you must not use them to build or operate a competing service.

15.2 Output carrying someone else's confidential information

Some Output may contain information that is confidential to someone else — most often where you have connected a licensed data feed and the Output reproduces data from it. Where that happens, your obligations to that provider apply to the Output too. Owning the Output does not release you from them.

16. Disclaimers and limitation of liability

16.1 The Disclaimers are Schedule 1

The Disclaimers are set out in Schedule 1 and form part of these Terms. They explain what Farm Assistant is, the limits of what it produces, and your responsibilities when you rely on it. They are not a separate document — you accept them when you accept these Terms.

16.2 As is

The Assistant is provided on an "as is" and "as available" basis, without warranties of any kind, to the extent permitted by law. We do not warrant that it is fit for any particular purpose.

16.3 How the Disclaimers reach you

Disclaimers are delivered at three points:

• When you accept these Terms — Schedule 1 is part of what you accept, and is published together with these Terms.
• In context, as you use the Assistant — when you first retrieve or use a Resource, the relevant Disclaimer and any Resource-specific terms are presented to you.
• In plain language — a plain-English summary of what the Assistant can and cannot do is published alongside these Terms and shared via our website and onboarding emails.

16.4 Consumer guarantees

Nothing in these Terms, including Schedule 1, excludes, restricts or modifies any consumer guarantee or other right under the Australian Consumer Law that cannot lawfully be excluded, and nothing in them operates as misleading or deceptive conduct. The Disclaimers apply only to the extent the law permits. Where the ACL permits liability for failure to comply with a guarantee to be limited, and the services are not of a kind ordinarily acquired for personal, domestic or household use (§4.1), that liability is limited, at our option, to resupplying the services or the cost of resupply (Competition and Consumer Act 2010 (Cth), s 64A).

16.5 Exclusion of indirect loss

To the maximum extent permitted by law, we are not liable for indirect or consequential loss.

16.6 Cap

To the maximum extent permitted by law, our aggregate liability under or in connection with Farm Assistant is limited to the greater of (a) the fees you have paid us in the 12 months before the claim arose, and (b) $330.

16.7 Carve-outs

Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot be excluded by law. Nothing in them operates as misleading or deceptive conduct.

17. Support

17.1 Roadside Assistance

Roadside Assistance is our human-based support channel — a Telegram channel to the Regen Support Desk. Support is provided on a best-efforts basis: we aim to respond promptly during business hours, but we do not commit to fixed response or resolution times. Roadside Assistance is not a contractual service level.

17.2 Onboarding

We provide onboarding support to help you set up your Assistant and start using it — normally a guided session with a member of our team. Any time we quote for onboarding is an estimate, not a commitment, and how long it takes depends on your farm, your systems and what you want set up. Onboarding is provided on the same best-efforts basis as §17.1 and is not a contractual service level.

18. Suspension and termination

18.1 Grounds

We may suspend or terminate your access for breach of these Terms, for unlawful activity, or — where you subscribe — for non-payment (Subscription Agreement §6.5). Where we do, we will tell you why unless we are legally prevented from doing so.

18.2 Effect

On termination your right to use the Assistant ends. We will not delete your data without your consent, except where the law requires it, or where your account is deleted for prolonged non-payment under the Subscription Agreement. Export and deletion are otherwise as set out in §13.3, §13.4 and the Privacy Policy.

18.3 Survival

Sections on intellectual property and the Regen Library (§14), confidentiality (§15), disclaimers (§16 and Schedule 1) and governing law (§22) survive termination, as does any licence you granted under §14.4 in respect of Resources already shared.

19. Service continuity

If Regen Digital or Watney Labs is unable to continue operating the Assistant, our infrastructure agreements are designed to enable continuity of your service and the return of your data, including a standing right for Regen Digital to extract and re-host your Assistant. Account ownership transfers to Regen Digital over the term of those arrangements.

These are continuity arrangements designed to protect your service. They are not a guarantee of uninterrupted operation — §16.3 applies.

20. Changes

20.1 To the Assistant

We may modify, update or discontinue Farm Assistant or any of its features at any time.

20.2 To these Terms

We will give reasonable notice of material changes to these Terms where practicable.

20.3 How changes take effect

Material changes require your positive re-acceptance, and we record the version you accepted. If you do not accept a material change, we may stop providing the Assistant to you. Non-material changes take effect on notice.

21. Fees

Fees, billing, the trial, the transition to a paid plan, auto-renewal, non-payment and cancellation are in the Subscription Agreement. The limitation of liability is at §16. Nothing in these Terms obliges you to subscribe, and these Terms apply to your use of the Assistant whether or not you do.

22. Governing law and disputes

22.1 Governing law

These Terms are governed by the laws of New South Wales, Australia.

22.2 Jurisdiction

The courts of that State have exclusive jurisdiction, subject to §22.3.

22.3 Resolving disputes first

Before starting formal proceedings, we each agree to try to resolve the dispute by good-faith negotiation and, if that does not work, mediation. Nothing in this section prevents either of us seeking urgent interlocutory relief, or affects your right to complain to a regulator or an external dispute resolution scheme.

23. General

23.1 Entire agreement

These Terms, the Privacy Policy and, if you subscribe, the Subscription Agreement are the entire agreement between us about Farm Assistant.

23.2 Order of precedence

If there is a conflict: the Subscription Agreement prevails on commercial matters; the Privacy Policy prevails on the handling of personal information and Farm Data; otherwise these Terms prevail. Schedule 1 is read with these Terms and does not narrow §16.4.

23.3 Severability

If any provision is unenforceable, the rest continues in full force.

23.4 Waiver

A failure or delay in exercising a right is not a waiver of it.

23.5 Assignment

You may not assign your rights or obligations without our prior written consent. We may assign ours in connection with the continuity arrangements described at §19, on notice to you.

23.6 Notices

Notices must be in writing, to the contact details on our website or the contact details in your account.

23.7 Force majeure

Neither of us is liable for failure to perform to the extent caused by events beyond reasonable control, including the third-party service outages described at §11.3.

Schedule 1 — Disclaimers and Reliance Wording

This Schedule forms part of the Terms of Use (§16.1). Defined terms are as defined in §1.1.

1. Purpose

This Schedule explains what Farm Assistant is, the limits of what it produces, and your responsibilities when you rely on it. Farm Assistant is infrastructure: it connects you to third-party large language models through the Harness, and lets you draw on Resources from the Regen Library. You direct the Assistant — you decide what to ask, which Resources to use, and what to do with its Output. Regen Digital does not itself give advice, author Resources, or train the AI models.

2. Nature of AI-generated outputs

Output is generated by third-party large language models. It is probabilistic and may be inaccurate, incomplete, out of date, or unsuitable for your circumstances — even when it appears confident or well-formatted. It is decision-support, not an instruction to act. Your Assistant works through a multi-stage pipeline: where you send a voice message, it is first transcribed to text by a separate provider before the model processes it, so mistranscription is a distinct source of error from the model's own mistakes. Either, or both, can occur.

The Assistant's recall of your past conversations works the same way — it searches for what looks relevant rather than looking up a fixed record, so it may miss something you told it, or surface an older version of it (Terms of Use §3.6).

3. Not professional advice

Output is not professional advice and must not be relied on as a substitute for it. In particular, it is not agronomic, veterinary, animal-health, financial, accounting, tax, legal, or environmental-compliance advice. Obtain advice from a suitably qualified professional, and independently verify Output, before you act on it.

4. Domain-specific warnings and prohibited uses

Some uses carry a high risk of harm if the Output is wrong. For these you must independently verify, and apply your own judgement (and, where relevant, a qualified professional's), before acting — and before any third party relies on the Output. These include, without limitation:

• chemical and spray rates, withholding periods, and label/permit compliance;
• animal health and treatment;
• financial, accounting and tax figures;
• regulatory, compliance and record-keeping outputs (see §10); and
• any document a third party will rely on (e.g. a certificate) — which should be issued from your own system of record, under your own review and sign-off (see §5).

The Assistant is for information and decision-support only. You must not use the Assistant to operate, actuate or control machinery, vehicles, equipment or industrial-control/SCADA systems, or to initiate or authorise any payment or transfer of money, or enter into any commitment that may result in a payment or a commercial transaction. Instructing the Assistant to do either is a breach of these Terms.

5. Your responsibility and verification

You direct the Assistant and set its boundaries, and you remain responsible for every decision you take, and every action you perform, on the basis of its Output. The Assistant can help with financial work — it can draft, model and analyse — and it must not move money, or enter into commitments that may result in commercial transactions or payments (§4).

It is instructed to leave financial work as a draft — to prepare an invoice or a journal for you to review and execute, rather than post it itself. That is an instruction to the Assistant, not a technical lock. On the path where it works inside an account you have logged it in to, there is no setting that limits what it can do (see below), so it can change things in your accounting system. Check what it has done before you rely on it. Your review before something is entered, approved or issued is the safeguard — not anything inside the Assistant.

Where an Output becomes a formal record, or a document others rely on, you are responsible for reviewing it and issuing it from your own system of record.

Where you connect a system, what the connection can do depends on the path it uses: connections authorised through Switchboard are read-only, while anything the Assistant reaches inside your own logged-in session carries the same access you have, including the ability to change and delete. Where the provider lets you choose what a connection may do, that choice is yours (Terms of Use §11.2).

6. Garbage-in / garbage-out

The quality of Output depends on the data and instructions you give the Assistant. You are responsible for the accuracy, completeness, legality and appropriateness of your inputs, and for how you use the Output. Regen Digital is not responsible for the accuracy of data you supply or ask the Assistant to retrieve.

7. Third-party resources and vendor data

Resources. Resources in the Regen Library are authored by third parties (farmer-practitioners and domain experts). Their role is to help you prompt the model; they are not Regen Digital's advice. When you retrieve or first use a Resource, you must accept the terms and disclaimers specific to that Resource. Liability for the substance of a Resource rests with its author (or whoever holds it out as fit for purpose), subject to those terms. Regen Farmers Mutual curates and quality-assures Resources before publication; any quality-assurance responsibility it assumes sits with it.

Vendor data. Market, price, weather and other third-party data the Assistant retrieves at your direction is not warranted by Regen Digital for accuracy, completeness or timeliness. If you direct the Assistant to use a licensed data feed, you are responsible for holding the necessary rights or licence to that data.

Upstream terms (pass-down). The Assistant is built on third-party components — the AI Providers' models, the Watney-operated Harness and Switchboard, and third-party Resources — each supplied "as is". Regen Digital gives no greater warranty in respect of Output, the Harness, Switchboard or any Resource than it itself receives from the relevant third party, and, to the extent permitted by law, your rights and remedies are limited accordingly.

8. No uptime or availability guarantee

We aim for the Assistant to be available at least 90% of the time each month. That is a target rather than a guarantee.

Farm Assistant depends on third-party services and is provided on a best-endeavours basis. Regen Digital does not guarantee that it will be available, uninterrupted or error-free, and is not liable for loss arising from unavailability or loss of access — including where an AI Provider or Resource is suspended or withdrawn, access is suspended because of a breach of an AI Provider's acceptable-use policy, or a platform you have connected changes or withdraws access.

9. Outcome and sustainability claims

Regen Digital does not guarantee any particular result, saving or return from using Farm Assistant; any illustration is indicative only. Any environmental, regenerative or sustainability outcome depends on your own practices and independent verification, and is not guaranteed.

10. Regulatory and record-keeping outputs

Where Output feeds a regulated process — for example, figures written into your accounting system, or emissions/carbon or compliance reporting — it is not assured for submission. You must independently verify it before submission or reliance, and you remain responsible for your own regulatory and record-keeping obligations. The Assistant's memory is not a record for this purpose (Terms of Use §3.6).

11. Capabilities and limitations — plain-language summary

What it can do: help you organise your own data; draft documents, reports and dashboards; retrieve and format third-party information you ask for; and prompt a large language model more effectively using Regen Library Resources.

What it can't do: give professional advice; guarantee accuracy; act as your system of record; move money, commit you to a payment, or control equipment; guarantee it will remember something you told it; reliably limit what it discloses to someone you have invited into a chat with it; or replace your judgement or your professional advisers.

12. Consumer guarantees

Nothing in this Schedule excludes, restricts or modifies any consumer guarantee or other right under the Australian Consumer Law that cannot lawfully be excluded, and nothing in it operates as misleading or deceptive conduct. Where the ACL permits liability for failure to comply with a guarantee to be limited, and the services are not of a kind ordinarily acquired for personal, domestic or household use, that liability is limited, at Regen Digital's option, to resupplying the services or the cost of resupply (Competition and Consumer Act 2010 (Cth), s 64A).
